Solugen, Inc. is a revolutionary technology company seeking to use biology to transform the chemicals industry. Solugen was founded in 2016 and is a post-Series B venture-backed startup company supported by renowned venture capital firms including GIC, Baillie Gifford, Temasek, Blackrock, and Founders Fund. Located in Houston, Texas, Solugen is currently scaling up its manufacturing facility to use its chemienzymatic process to manufacture biobased chemistries for water treatment, agriculture, and personal care. Solugen currently has 100+ full time employees.

Mission

Solugen’s mission is to decarbonize chemicals manufacturing. As a first step, Solugen is building a 10,000 tpy first commercial plant with the potential to offset up to 37,000 tpy of carbon dioxide equivalents. Reporting to the CFO, this is a hands-on role that will be focused on supporting day-to-day corporate legal needs of the company including, but not limited to lending legal support on employment contracts, commercial contracts, NDAs, regulatory, and transactions (debt and equity). Additionally, this individual will serve as the Subject Matter Expert (SME) for creation of and review of legal documents for Solugen.

Key Outcomes

  1. In the coming year this attorney will provide legal guidance to our leadership team as they evaluate and establish agreements with a wide variety of commercial partners and other businesses related to operations (focusing on employment and regulatory) and other external ventures.
  2. As the company continues to grow this in-house attorney will establish a working relationship with the Human Resources team to establish best practices based on employment law.
  3. This attorney will establish themselves as the in-house legal resource to evaluate and identify risk factors, clarify legal language, draft agreements, review agreements and negotiate on behalf of Solugen with a focus on commercial contracts and NDAs.
  4. As we enter in to ventures this attorney will negotiate on behalf of Solugen as well as draft agreements.

- Confidently represent Solugen in negotiating agreements and documents relating to strategic cooperation & collaboration, acquisitions, financing, project development, operations and real estate.

- Serve as a team player that provides sound legal advice and support to our executive leadership team as well other departments of the organization.

- Provide sound legal guidance and counsel for matters related to employment/labor law.

- Coordinate with external subject matter experts on behalf of Solugen, when necessary.

- Self-motivated and proactive in-house counsel.

- Collaborate with other departments such has QHSE regarding compliance and regulatory guidelines. Also, work to develop and execute our legal guidelines regarding Intellectual Property.

- Collaborate with other departments to provide/create internal governance policies and regularly monitor compliance.

- Good communication, negotiation, leadership, and project management skills with the desire to further develop these skills as the company grows.

- Good familiarity with Office products as well as a general level of comfort with online communication and work management platforms such as Dropbox, Google Doc, and Slack.

Qualifications

Juris Doctorate from top 20 accredited law school is required.

Currently licensed by the State Bar of Texas to practice.

A minimum of 5 years of experience working with a leading global big law firm.
